欢迎使用 Quocia。本服务条款(“条款”)构成您与 Quocia AI Private Limited(以“Quocia”、“我们”或“我们的”名义开展业务)之间具有法律约束力的协议,我们是一家在新加坡注册的公司,注册地址为 60 Paya Lebar Road, #07-54 Paya Lebar Square, Singapore 409051。

本条款约束您对 Quocia 网站(www.quocia.com)、Quocia 应用程序(app.quocia.com)以及我们提供的任何相关产品、服务和内容的访问和使用(统称为“服务”)。

通过访问或使用本服务,您确认您已阅读、理解并同意受本条款以及我们的《隐私政策》的约束。如果您不同意,您不得使用本服务。

本服务面向年满 18 周岁的用户。未满 18 周岁的个人在未获得可验证的父母或监护人同意的情况下,不得注册或使用本服务。

1. 接受本条款

通过创建帐户、访问本服务或以其他方式表明您的接受,即表示您代表您自己或代表您所代表的实体同意本条款。如果您代表某个组织接受本条款,您确认您有权使该组织受本条款约束。

我们可能会不时更新本条款。当前版本将始终发布在 www.quocia.com/terms,顶部标有“最后更新”日期。重大变更将通过电子邮件或应用程序内的显著通知传达给您。您在任何变更生效日期后继续使用本服务,即构成对修订后条款的接受。

2. 我们的服务

Quocia 是一个 AI 辅助的社交媒体管理平台。我们帮助您为您的品牌工作区(brand workspaces)策划、生成、编辑、排期和发布社交媒体和博客内容。核心功能包括:

  • AI 生成的社交媒体策略、内容日历、帖子和博客草稿;
  • 用于在发布前审查和完善 AI 生成内容的编辑器;
  • 排期功能,以及在付费计划中,通过我们的集成合作伙伴向受支持的第三方社交平台自动发帖功能;
  • 对话工具(如 Q-Chat),让您能够与我们的 AI 就策略和内容进行协作;以及
  • 用于管理多个品牌、项目和团队成员的工作区仪表板。

您可用的功能取决于您的计划。计划详细信息(包括每个计划的功能、Q-Credits 额度和价格)在我们的定价页面上进行了说明,并可能随时变更。

3. 资格与帐户注册

3.1 资格

要使用本服务,您必须年满 18 周岁,且根据您所在司法管辖区的法律具有订立具有约束力合同的法定能力。您不得是根据任何适用法律被禁止接收本服务的人。

3.2 帐户注册

您可以使用电子邮件和密码或使用受支持的第三方登录(如 Google、Apple 或 Facebook)注册帐户。您同意在注册时提供准确、最新和完整的信息,并使该等信息保持最新状态。

3.3 帐户安全

您有责任妥善保管您的密码并对您帐户下发生的所有活动负责。如果您怀疑存在未经授权的访问,请立即通过 support@quocia.com 通知我们。我们可自行决定暂停或更改我们认为不当、侵权或具有误导性的帐户或用户名。

3.4 您的陈述

通过使用本服务,您陈述并保证:

  • 您提供的信息准确、最新且完整,并且您将保持其准确性;
  • 您具备同意本条款的法定能力;
  • 除我们提供官方 API 或集成的情况外,您不会通过自动化或非人为手段使用本服务;
  • 您不会将本服务用于任何非法目的或违反本条款的用途;
  • 您不会使用本服务发布、散布或宣传政治内容,或试图影响政治舆论;
  • 您对本服务的使用将遵守所有适用的法律法规;
  • 您将在此等 AI 生成内容发布前进行审查并明确批准,并且您对您选择发布的内容承担全部责任。

4. 您的内容

4.1 所有权

您保留您通过本服务创建、上传或以其他方式提供的内容(包括文本、图像、视频、音频、品牌材料、提示词和指令)(即“您的内容”)的所有所有权。我们不主张对您的内容享有所有权。

4.2 授予 Quocia 的许可

为了运营本服务,您授予 Quocia 一项全球性、非独占、免版税的许可,以托管、存储、复制、修改、传输和显示您的内容,此等许可仅用于为您提供、维护和改进本服务之目的。该许可在您的内容被删除时终止,除非法律要求我们保留,或者它在合理期限内的常规备份中被保存。

4.3 在 AI 提供商处使用您的内容

为了生成您所请求的输出,本服务会将您的内容的相关部分(例如您的简介、品牌信息、提示词和素材)发送给作为我们的处理者的第三方 AI 提供商。这些提供商代表我们处理此类数据以向您返回 AI 输出。我们专门使用这些提供商的付费 API 层级,其条款不允许他们使用您的内容或我们的输出来训练其通用模型。有关更多详细信息,请参阅我们的《隐私政策》。

4.4 宣传用途

我们可能不时希望在我们的营销中展示您面向公众的帖子、品牌工作区示例或成功案例。我们仅对您已经公开发布的内容执行此操作,且您可随时发送电子邮件至 support@quocia.com 选择退出。本节不影响您根据适用数据保护法享有的任何权利。

4.5 您对您的内容的责任

您对您的内容以及确保您拥有上传您的内容及发布由其生成的内容所需的所有权利、许可、授权和同意负全部责任。我们没有义务监控您的内容,但我们可以在我们合理判断认为违反本条款或适用法律的情况下,删除或限制对该等内容的访问。

4.6 备份

虽然我们执行常规的平台数据备份,但您有责任维护您自己的您的内容的备份。我们对您的内容的任何丢失或损坏不承担任何责任。

5. AI 生成内容

我们的服务使用生成式 AI(generative AI)根据您提供的输入生成草稿、建议、想法、排期和其他输出。AI 生成的输出仅作为您审阅和编辑的起点提供。

您承认并同意:

  • AI 生成的内容绝不会自动发布。发帖和排期操作需要您的明确批准;
  • AI 输出可能包含不准确之处、遗漏或不适合您目的的内容。您负责在发布所有 AI 输出之前对其进行审查、事实核查和编辑;
  • AI 输出可能碰巧类似于现有材料。您负责确保您发布的内容不侵犯任何第三方的权利;
  • 通过批准和发布 AI 生成的内容,您对其准确性、合法性和适用性承担全部责任。

在法律允许的最大范围内,对于因您批准并发布的 AI 生成内容而引起的任何不准确、错误、遗漏或涉嫌侵权行为,我们概不负责。

6. 可接受的使用

6.1 禁止的用途

您同意您不会使用本服务创建、存储、传输、排期或发布内容,或以其他方式参与以下行为:

  • 违反任何法律、法规、法令、规章或第三方权利;
  • 具有威胁性、辱骂性、骚扰性、诽谤性、仇恨性、淫秽性或侵犯他人隐私;
  • 构成政治内容、我们判定为具有政治性质的内容,或旨在影响政治舆论的内容;
  • 已知为虚假、误导性或与事实不符(包括虚假信息和捏造的新闻);
  • 以不适当或在目标地区非法的内容针对未成年人;
  • 宣扬暴力、恐怖主义、自残、非法物质、武器或其他有害活动;
  • 侵犯任何第三方的知识产权、隐私权或公开权;
  • 包含恶意软件、病毒或具有技术危害性的材料;
  • 违反其发布目标社交平台的服务条款;
  • 违反目标地区的社会、文化或道德规范(该等违规行为由我们善意判定)。

6.2 禁止的行为

您还同意不得:

  • 对本服务的源代码进行逆向工程、反编译或试图衍生本服务的源代码,除非法律允许的范围内;
  • 规避速率限制、安全功能或使用限制;
  • 除非通过已发布的 API,否则使用抓取工具、机器人或其他自动化手段访问本服务;
  • 使用本服务构建具有竞争力的产品、训练竞争性 AI 模型,或系统地提取内容以进行重新分发;
  • 未经我们书面同意,向第三方转售、分许可或转让您的帐户;
  • 冒充他人或歪曲您与任何个人或组织的从属关系;
  • 干扰、中断本服务或任何连接的网络,或对其施加不合理的负载;
  • 骚扰、威胁或辱骂我们的员工、承包商或其他用户。

6.3 强制执行

我们保留但没有义务调查涉嫌违规行为并采取适当行动,包括向用户发出警告、删除内容、暂停或终止帐户以及向执法部门报告涉嫌非法活动。

7. 反垃圾邮件政策

如果您使用本服务发送电子邮件、时事通讯或其他营销通信,您必须遵守所有适用的反垃圾邮件法律(例如美国《反垃圾邮件法》(CAN-SPAM Act)、加拿大反垃圾邮件法(CASL)和欧盟《电子隐私指令》(ePrivacy Directive))以及以下要求。

您只能向已给予您事先可验证同意的收件人发送营销通信。您不得导入购买的、租用的、抓取的或借用的列表。您通过本服务发送的每条营销信息都必须包括:

  • 准确的“发件人”名称和不具有误导性的主题行;
  • 您有效的邮政地址和身份信息;
  • 易于查找且有效的取消订阅或选择退出链接;
  • 不违反上述第 6 节规定的内容。

如果您的消息产生异常高的退回率或投诉率,我们可能会对您的发送权限进行审查,或完全暂停这些权限。

8. 计划、Q-Credits 与品牌工作区

8.1 计划类型

我们提供免费计划和一个或多个付费订阅计划。可用计划的名称、功能、限制、价格、计费周期和 Q-Credits 额度在我们的定价页面(链接自网站和应用程序内部)上进行了说明,并可能会不时发生变更。我们还可能取消某些计划、推出新计划,或将现有订阅者保留在旧有计划条款下。付费计划的权益——包括自动发帖、更高的 Q-Credits 额度和团队协作——仅在订阅处于活跃且已付费的状态时适用。

免费计划、免费试用、促销优惠和免费功能均由我们自行决定提供。我们可能会随时修改、限制或撤回任何免费计划、免费试用、促销优惠或免费功能——包括整个免费计划——且无需事先通知。本条款中的任何内容均不授予您继续免费接收本服务或本服务任何部分的权利。

8.2 Q-Credits

“Q-Credits”是我们用来计量 AI 驱动功能(例如内容生成、策略创建和 Q-Chat)使用情况的单位。每个计划都包含每月的 Q-Credits 额度。您也可随时购买额外的储值 Q-Credits。

  • 每月 Q-Credits 在每个计费月开始时重置,且不结转;
  • 购买的 Q-Credits 永不过期,在您每月的额度耗尽后使用;
  • Q-Credits 不可退款且不具现金价值。它们与您的用户帐户绑定,不得在帐户之间转移。

8.3 品牌工作区与协作

您可以创建一个或多个品牌工作区。在符合条件的计划中,您可以邀请协作者加入工作区,并为其分配角色(例如审批者、编辑者或查看者)。帐户持有人仍需对所有协作者的行为负责,并负责确保您与他们共享的任何数据均系合法共享。

9. 订阅、计费与付款

9.1 付款方式

订阅费和一次性购买费用由我们的支付提供商(目前为 Stripe)处理。接受的付款方式包括主要信用卡和借记卡(Visa、Mastercard、American Express、Discover)以及由我们的支付提供商在您所在地区提供的任何其他附加方式。Quocia 不存储完整的卡号;支付数据由支付提供商根据其安全标准保存。

9.2 定价与货币

除非另有说明,所有价格均以美元(USD)为单位,且不含税。如适用,适用税费将在结账时添加。我们可能会随时更改价格;现有付费订阅者将在新价格适用于其下一个计费周期前至少两周收到电子邮件通知。

9.3 经常性费用与授权

开始付费订阅即表示,您授权我们(通过我们的支付提供商)以经常性方式(每月或每年,取决于您选择的计划)从您选择的付款方式中扣款,直至您取消订阅。您有责任保持您的付款信息处于最新状态。即使在费用已处理之后,我们也可以更正定价或计费错误。

9.4 免费试用、促销代码和免费期

如果您获得免费试用、促销代码或其他免费订阅期,您的订阅将在该期限结束时按当时现行的价格自动转为付费订阅,除非您在该期限结束前予以取消。为避免被收费,您必须在免费期结束前取消。

9.5 税费

根据您的账单接收地址,发票上可能会添加销售税、增值税(VAT)、商品及服务税(GST)或类似税费。您有责任针对您的购买缴纳任何未由我们代收的已评估税费。

10. 取消与退款

10.1 取消

您可以随时在应用程序中的“计费(Billing)”门户取消付费订阅。取消将在当前付费期结束时生效;您将保留对付费功能的访问权限,直至该期间结束。除非如下所述,否则取消不赋予您对已付费用要求退款的权利。

10.2 退款资格

由于本服务是数字化的且提供免费计划,因此付费计划通常不予退款。作为有限的例外情况,您可以在以下时间窗口内申请仅退还最近一次付款(即开始或最近续订您当前订阅期的付款):

  • 包月计划:退款申请必须在订阅开始或最近续订日期后的 48 小时内提交。
  • 包年计划:退款申请必须在订阅开始或最近续订日期后的 14 天内提交。

退款不涵盖已经支付和使用的较早的计费周期。退款申请必须通过电子邮件发送至 support@quocia.com。获批的退款需扣除 10% 的管理和交易费(从支付金额中扣除),并将导致您的订阅被立即取消。

10.3 Q-Credits 及附加项目

购买的 Q-Credits 和其他附加项目购买不予退款。订阅退款不会退还已经发放或消耗的每月 Q-Credits。

11. 第三方服务与内容

本服务与第三方服务和内容进行集成,包括(但不限于)支付处理商、AI 模型提供商、社交媒体平台、图像库、电子邮件投递提供商、电子邮件验证提供商和云托管提供商。您对这些第三方服务的使用还受其各自条款和隐私政策的约束,并且您与每个提供商之间的关系仅受您与他们之间的协议管辖。

我们无法控制并且不对任何第三方服务的内容、可用性、准确性或惯例负责。您有责任审阅并遵守您通过本服务在其上发布内容的任何第三方平台的条款。

12. 平台附加条款

本平台附加条款规定了以下额外条款,当您将第三方社交或内容平台(如 Facebook、Instagram、LinkedIn、X(前身为 Twitter)、TikTok、YouTube、Pinterest、Threads 或类似平台)连接到品牌工作区并使用本服务在该平台上进行内容排期、发布或分析(每一个皆称为“关联平台”)时适用。

12.1 连接授权

通过将关联平台连接到本服务,您陈述并保证:

  • 您有权连接相关帐户并根据该平台的条款授予我们访问权限;
  • 您将遵守关联平台的服务条款、社区准则、广告政策、内容政策和开发者政策,且上述政策会不时更新;
  • 您不会使用本服务从事关联平台所禁止的行为,包括发送垃圾信息、虚假互动、自动化个人帐户行为或未经授权的商业活动。

12.2 平台施加的限制

关联平台对我们可以代您执行的操作设置其自身的限制,包括受支持的帐户类型、发帖频率、内容格式、字符限制、媒体规范、标签和分析。这些限制随时发生变化且不另行通知。Quocia 对任何关联平台的支持均为“尽力而为(best-effort)”,并且在关联平台更改其政策或 API 时,我们的支持可能会被调整、限制或撤回。

12.3 拒绝、暂停和中断

关联平台可以随时自行决定拒绝发帖、限制发帖频率、暂停或关闭您的帐户。对于由关联平台引起的任何拒绝、节流、暂停、帐户关闭或受众流失,我们概不负责。在合理可能的情况下,我们将向您显示错误消息并传递可帮助您解决与关联平台相关问题的信息。

12.4 平台数据

当您连接关联平台时,我们仅收到该平台要求其所请求功能(例如,“发布帖子”或“读取洞察”)具有的访问权限。您可随时通过关联平台的设置或本服务内部的品牌工作区设置审阅并撤销这些权限。

12.5 终止连接

您可以随时断开关联平台的连接。断开连接将停止向该关联平台发布排期的及待发布的帖子。除非您通过平台本身将其删除,否则已发布到该关联平台的帖子将保留在该平台上。

13. 知识产权

13.1 我们的知识产权

本服务,包括所有软件、设计、文本、图形、品牌、商标、徽标以及由 Quocia 创建或授权给 Quocia 的其他内容(即“Quocia IP”),均归 Quocia 或其许可方所有,并受版权、商标和其他法律保护。

13.2 授予您的许可

在您遵守本条款的前提下,我们授予您一项有限的、非独占的、不可转让的、可撤销的许可,以供您出于个人或内部业务目的访问和使用本服务。我们未授予任何其他权利,Quocia 保留所有未明确授予的权利。

13.3 限制

未经我们事先书面许可,您不得在上述明示许可之外针对任何目的复制、再版、重新发布、编码、翻译、传输、出售、许可、分发或以其他方式利用 Quocia IP。

13.4 反馈

如果您选择向我们发送有关本服务的建议、想法或反馈,即表示您同意我们可不受限制地使用它们且无需提供任何补偿。

14. 版权声明

如果您认为本服务中提供的内容侵犯了您的版权,请将书面通知发送至 support@quocia.com,其中包含:涉嫌侵权作品的描述;涉嫌侵权材料的位置;您的联系方式;关于您善意确信该使用未被授权的声明;以及一份以伪证罪处罚为前提所作的声明,说明您有权代表权利持有人行事。我们可能会将您的通知转发给发布该内容的用户。通知中的虚假或重大失实陈述可能导致您承担适用法律下的责任。

15. 服务的可用性与修改

我们的目标是保持本服务具有高正常运行时间,但可用性可能会受以下因素影响:计划内维护、我们所依赖的第三方服务(如 AI 提供商、社交平台、图像库和托管提供商)的问题,以及超出我们合理控制范围的原因。

对于由我们发起的计划内维护,我们将在应用程序内或通过电子邮件至少提前 24 小时发出通知,并在可能的情况下将每月总计的计划内维护时间控制在四(4)小时以内。如果经验证的服务不可用时间——由我们引起,而非由关联平台或其他第三方引起——在两个连续月份内每月超过 108 小时,您的唯一及排他性补救措施是终止受影响的订阅,并就该订阅期内剩余未使用的部分获得预付费用的按比例退款。

我们可随时自行决定更改、暂停、终止或修改本服务的任何部分。如果变更是重大的且对付费订阅者不利,我们将发出合理的提前通知。我们对此类变更引起的任何损失不承担任何责任。

16. 终止

您可以随时停止使用本服务,并且可以从应用程序的设置中删除您的帐户。如果我们合理地认为存在以下情况,我们可以随时自行决定暂停或终止您对本服务的访问,或关闭您的帐户:

  • 您违反了本条款或适用法律;
  • 继续向您提供本服务将使我们、我们的用户或第三方暴露于损害或责任风险中;
  • 您未能支付到期款项;或
  • 您的使用造成了重大的运营、法律或声誉风险。

在合理合法的情况下,我们将向您发出事先通知并提供补救的机会。根据其性质应当在终止后继续存续的条款(包括与已授予的您的内容许可、知识产权、免责声明、责任限制、赔偿和管辖法律相关的条款)在协议终止后仍将有效。

如果我们关闭了您的帐户,未经我们书面同意,您不得使用相同的身份、付款工具或以您为其代理的第三方的名义注册新帐户。

17. 免责声明

在法律允许的最大范围内,本服务按“原样(AS IS)”和“可用(AS AVAILABLE)”状态提供,不作任何明示、暗示或法定的保证,包括对适销性、特定用途的适用性、非侵权性和不存在缺陷的暗示保证。

我们不保证:

  • 本服务将满足您的要求或期望;
  • 本服务将是不间断、及时、安全或无错误的;
  • AI 生成的输出将是准确的、原创的或适合您目的的;
  • 发布到关联平台的内容将被该平台接受、保留或分发;
  • 缺陷将被纠正。

某些司法管辖区不允许排除某些保证;在这些司法管辖区,上述免责声明在法律允许的最大范围内适用。

18. 责任限制

在法律允许的最大范围内,Quocia 及其董事、高级职员、员工、承包商或代理均不对您或任何第三方承担任何间接的、附带的、后果性的、惩戒性的、特殊的或惩罚性的损害赔偿,包括利润损失、收入损失、数据丢失或商誉损失,无论是由于本条款或本服务引起还是与此相关,即使我们已被告知发生此类损害的可能性。

对于由本条款或本服务引起或与之相关的任何索赔,无论诉讼形式如何,我们对您的总累计责任不超过以下两项中的较高者:(a) 在引起索赔的事件发生前一 (1) 个月内您向我们支付的总金额,以及 (b) 100 美元(USD 100)。

某些司法管辖区不允许这些限制;在这些司法管辖区,我们的责任限于法律允许的最低限度。

19. 赔偿

您同意为 Quocia、其附属公司及其各自的董事、高级职员、员工和代理人辩护、提供赔偿并使其免受因以下情况引起或与之相关的任何第三方索赔、要求、损失、责任、损害或费用(包括合理的法律费用)的损害:

  • 您的内容;
  • 您对本服务的使用;
  • 您违反本条款或适用法律;或
  • 您侵犯第三方的权利,包括知识产权和隐私权。

我们将及时向您发出针对任何须受赔偿约束的索赔的通知,并且我们可以选择自费承担您欠负赔偿义务的任何事项的独家防御和控制权,在此情况下,您同意配合我们的防御。

20. 管辖法律与争议解决

本条款受新加坡共和国法律管辖并按其解释,不考虑其冲突法规则。

20.1 非正式解决

在提起正式诉讼之前,双方同意在一方以书面形式通知另一方时起,至少花费六十(60)天时间,尝试以非正式方式解决由本条款或本服务引起或相关的任何争议、争论或索赔。

20.2 有约束力的仲裁

任何未能以非正式方式解决的争议将提交由新加坡国际仲裁中心(SIAC)根据提交时有效的 SIAC 仲裁规则管理的仲裁,并由其最终解决。仲裁地点为新加坡。仲裁庭将由一名仲裁员组成。仲裁语言为英语。

20.3 禁令救济

本节中的任何内容均不妨碍任何一方从有管辖权的法院寻求临时或禁令救济,以保护知识产权或机密信息。

21. 隐私

我们对个人信息的处理方式在我们的《隐私政策》中进行了说明,该政策构成本条款的一部分。我们对 Cookie 及类似技术的使用在我们的《Cookie 政策》中进行了说明。通过使用本服务,您承认您已阅读并理解这两项政策。

22. 电子通信与签名

通过使用本服务或向我们发送电子邮件,即表示您同意接收来自我们的电子通信。您同意我们以电子方式(包括通过电子邮件或在应用程序内)提供给您的所有协议、通知、披露和其他通信,均符合要求采用书面形式的任何法律规定。您同意使用电子签名、合同、订单和记录,并放弃适用法律下要求提供原始签名或非电子交付的任何权利。

23. 其他条款

本条款,连同我们的《隐私政策》、《Cookie 政策》以及本服务中引用的任何特定计划的条款,构成您与我们之间关于本服务的完整协议,并取代此前关于同一主题的任何协议。

如果本条款的任何规定被认定为不可执行,其余规定将继续完全有效。我们未能执行任何规定并不构成对我们随后执行该等权利的放弃。我们可以在合并、收购或资产出售的情况下转让本条款;未经我们事先书面同意,您不得转让本条款。本条款的履行并不在您和我们之间产生任何合资、合伙、雇佣或代理关系。

任何一方均不对因超出其合理控制范围的事件(包括不可抗力、政府行为、互联网或电信中断或第三方故障)导致的未能履行或延迟履行承担责任。

24. 本条款的变更

我们可能不时修订本条款。当前版本始终可查阅于 www.quocia.com/terms。对于重大变更,我们将通过电子邮件或应用程序内的显著通知提供合理的提前通知。在任何变更生效日期之后您继续使用本服务即构成您对修订后条款的接受。如果您不同意,您必须停止使用本服务并可关闭您的帐户。

Welcome to Quocia. These Terms of Service ("Terms") form a legally binding agreement between you and Quocia AI Private Limited (doing business as "Quocia", "we", "us", or "our"), a company registered in Singapore at 60 Paya Lebar Road, #07-54 Paya Lebar Square, Singapore 409051.

These Terms govern your access to and use of the Quocia website at www.quocia.com, the Quocia application at app.quocia.com, and any related products, services, and content we make available (together, the "Services").

By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not use the Services.

The Services are intended for users who are at least 18 years old. Persons under 18 are not permitted to register or use the Services without verifiable parental or guardian consent.

1. Acceptance of these Terms

By creating an account, accessing the Services, or otherwise indicating your acceptance, you agree to these Terms on your own behalf or on behalf of the entity you represent. If you are accepting on behalf of an organisation, you confirm that you have authority to bind that organisation.

We may update these Terms from time to time. The current version will always be posted at www.quocia.com/terms with the "Last updated" date at the top. Material changes will be communicated to you by email or by a prominent in-app notice. Your continued use of the Services after the effective date of any change constitutes acceptance of the revised Terms.

2. Our Services

Quocia is an AI-assisted social media management platform. We help you plan, generate, edit, schedule, and publish social media and blog content for your brand workspaces. Core features include:

  • AI-generated social media strategies, content calendars, posts, and blog drafts;
  • An editor for reviewing and refining AI-generated content before publication;
  • Scheduling and, on paid plans, automated posting to supported third-party social platforms via our integration partners;
  • Conversational tools (such as Q-Chat) that let you collaborate with our AI on strategy and content; and
  • A workspace dashboard for managing multiple brands, projects, and team members.

The features available to you depend on your plan. Plan details, including the features, Q-Credits allowance, and prices for each plan, are described on our pricing page and are subject to change.

3. Eligibility and Account Registration

3.1 Eligibility

To use the Services, you must be at least 18 years old and legally able to enter into a binding contract under the laws of your jurisdiction. You must not be barred from receiving the Services under any applicable laws.

3.2 Account registration

You may register an account using an email and password or by using a supported third-party login (such as Google, Apple, or Facebook). You agree to provide accurate, current, and complete information at registration and to keep that information up to date.

3.3 Account security

You are responsible for safeguarding your password and for all activity that occurs under your account. Notify us immediately at support@quocia.com if you suspect unauthorised access. We may, at our discretion, suspend an account or change a username we judge to be inappropriate, infringing, or misleading.

3.4 Your representations

By using the Services, you represent and warrant that:

  • The information you provide is accurate, current, and complete, and you will keep it so;
  • You have the legal capacity to agree to these Terms;
  • You will not use the Services through automated or non-human means except where we provide an official API or integration;
  • You will not use the Services for any unlawful purpose or in violation of these Terms;
  • You will not use the Services to publish, disseminate, or promote political content or to attempt to influence political opinions;
  • Your use of the Services will comply with all applicable laws and regulations;
  • You will review and explicitly approve all AI-generated content before it is published, and you accept full responsibility for content you choose to publish.

4. Your Content

4.1 Ownership

You retain all ownership rights in the content you create, upload, or otherwise provide through the Services, including text, images, video, audio, brand materials, prompts, and instructions ("Your Content"). We do not claim ownership of Your Content.

4.2 Licence to Quocia

To operate the Services, you grant Quocia a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, modify, transmit, and display Your Content solely for the purpose of providing, maintaining, and improving the Services for you. This licence ends when Your Content is deleted, except where we are required by law to retain it or where it is preserved in routine backups for a reasonable period.

4.3 Use of Your Content with AI providers

To generate output you ask for, the Services send relevant portions of Your Content (such as your brief, brand information, prompts, and assets) to third-party AI providers acting as our processors. These providers process this data on our behalf to return AI output to you. We use these providers exclusively on their paid API tiers, under terms that do not allow them to use Your Content or our outputs to train their general-purpose models. See our Privacy Policy for more detail.

4.4 Promotional use

From time to time we may wish to feature your public-facing posts, brand workspace examples, or success stories in our marketing. We will only do so for content you have already published publicly, and you can opt out at any time by emailing support@quocia.com. This section does not affect any rights you have under applicable data protection laws.

4.5 Your responsibility for Your Content

You are solely responsible for Your Content and for ensuring that you have all necessary rights, permissions, licences, and consents to upload it and to publish content generated from it. We are not obliged to monitor Your Content, but we may remove or restrict access to content that we judge, in our reasonable discretion, to violate these Terms or applicable law.

4.6 Backup

While we perform routine backups of platform data, you are responsible for maintaining your own backups of Your Content. We are not liable for any loss or corruption of Your Content.

5. AI-Generated Content

Our Services use generative AI to produce drafts, suggestions, ideas, schedules, and other outputs based on inputs you provide. AI-generated output is provided as a starting point for your review and editing.

You acknowledge and agree that:

  • AI-generated content is never published automatically. Posting and scheduling actions require your explicit approval;
  • AI output may contain inaccuracies, omissions, or content that is unsuitable for your purpose. You are responsible for reviewing, fact-checking, and editing all AI output before you publish it;
  • AI output may, by chance, resemble pre-existing material. You are responsible for ensuring the content you publish does not infringe the rights of any third party;
  • By approving and publishing AI-generated content, you accept full responsibility for its accuracy, legality, and suitability.

To the maximum extent permitted by law, we disclaim liability for any inaccuracy, error, omission, or alleged infringement arising from AI-generated content that you have approved and published.

6. Acceptable Use

6.1 Prohibited uses

You agree that you will not use the Services to create, store, transmit, schedule, or publish content, or otherwise engage in conduct, that:

  • Violates any law, statute, ordinance, regulation, or third-party right;
  • Is threatening, abusive, harassing, defamatory, hateful, obscene, or invasive of another person's privacy;
  • Constitutes political content, content that we judge to be political in nature, or content intended to influence political opinions;
  • Is known to be false, misleading, or factually incorrect (including disinformation and fabricated news);
  • Targets minors with content that is inappropriate or unlawful in the targeted locality;
  • Promotes violence, terrorism, self-harm, illegal substances, weapons, or other harmful activities;
  • Infringes intellectual property, privacy, or publicity rights of any third party;
  • Contains malware, viruses, or technically harmful material;
  • Violates the terms of service of the destination social platform on which it is published;
  • Violates social, cultural, or moral norms of the locality being targeted, where such violation is determined by us in good faith.

6.2 Prohibited conduct

You also agree not to:

  • Reverse-engineer, decompile, or attempt to derive the source code of the Services, except to the extent permitted by law;
  • Circumvent rate limits, security features, or usage restrictions;
  • Use scrapers, bots, or other automated means to access the Services other than via published APIs;
  • Use the Services to build a competing product, train competing AI models, or to systematically extract content for redistribution;
  • Resell, sublicense, or transfer your account to a third party without our written consent;
  • Impersonate another person or misrepresent your affiliation with any person or organisation;
  • Interfere with, disrupt, or place an unreasonable load on the Services or any connected network;
  • Harass, threaten, or abuse our employees, contractors, or other users.

6.3 Enforcement

We reserve the right, but not the obligation, to investigate suspected violations and to take appropriate action, including warning users, removing content, suspending or terminating accounts, and reporting suspected illegal activity to law enforcement.

7. Anti-Spam Policy

If you use the Services to send email, newsletters, or other marketing communications, you must comply with all applicable anti-spam laws (such as the U.S. CAN-SPAM Act, Canada's CASL, and the EU ePrivacy Directive) and the requirements below.

You may only send marketing communications to recipients who have given you prior, verifiable consent. You must not import purchased, rented, scraped, or borrowed lists. Every marketing message you send through the Services must include:

  • An accurate "from" name and a non-misleading subject line;
  • Your valid postal address and identifying information;
  • A working unsubscribe or opt-out link that is easy to find and use;
  • Content that does not violate Section 6 above.

We may put your sending privileges under review or suspend them entirely if your messages produce abnormally high bounce rates or complaint rates.

8. Plans, Q-Credits, and Brand Workspaces

8.1 Plan types

We offer a free plan and one or more paid subscription plans. The names, features, limits, prices, billing cycles, and Q-Credits allowances of the available plans are described on our pricing page (linked from the website and from inside the application) and may change from time to time. We may also retire plans, introduce new plans, or grandfather existing subscribers onto legacy plan terms. Paid-plan benefits — including auto-posting, higher Q-Credits allowances, and team collaboration — apply only while a subscription is active and paid.

Free plans, free trials, promotional offers, and free features are offered at our sole discretion. We may modify, restrict, or withdraw any free plan, free trial, promotional offer, or free feature — including the free plan in its entirety — at any time and without prior notice. Nothing in these Terms grants you a continuing right to receive the Services, or any part of the Services, free of charge.

8.2 Q-Credits

"Q-Credits" are the unit by which we meter the use of AI-powered features such as content generation, strategy creation, and Q-Chat. Each plan includes a monthly Q-Credits allowance. You may also purchase additional store-value Q-Credits at any time.

  • Monthly Q-Credits reset at the start of each billing month and do not roll over;
  • Purchased Q-Credits do not expire and are used after your monthly allowance is exhausted;
  • Q-Credits are non-refundable and have no cash value. They are tied to your user account and may not be transferred between accounts.

8.3 Brand workspaces and collaboration

You may create one or more brand workspaces. On eligible plans you may invite collaborators to a workspace and assign them roles (for example, Approver, Editor, or Viewer). The account holder remains responsible for the conduct of all collaborators and for ensuring that any data you share with them is shared lawfully.

9. Subscriptions, Billing, and Payments

9.1 Payment methods

Subscription fees and one-off purchases are processed by our payment provider (currently Stripe). Accepted payment methods include major credit and debit cards (Visa, Mastercard, American Express, Discover) and any additional methods offered by our payment provider in your region. Quocia does not store full card numbers; payment data is held by the payment provider in line with their security standards.

9.2 Pricing and currency

Unless otherwise stated, all prices are in U.S. dollars (USD) and exclude taxes. Applicable taxes will be added at checkout where required. We may change our prices at any time; existing paying subscribers will be notified by email at least two weeks before the new price applies to their next billing cycle.

9.3 Recurring charges and authorisation

By starting a paid subscription, you authorise us (through our payment provider) to charge your selected payment method on a recurring basis (monthly or annually, depending on the plan you choose) until you cancel. You are responsible for keeping your payment information current. We may correct pricing or billing errors even after a charge has been processed.

9.4 Free trials, promotional codes, and free periods

If you receive a free trial, promotional code, or other free subscription period, your subscription will automatically convert into a paid subscription at the end of that period at the then-current price unless you cancel before it ends. To avoid being charged, you must cancel before the end of the free period.

9.5 Taxes

Sales tax, VAT, GST, or similar taxes may be added to your invoice depending on your billing location. You are responsible for any taxes assessed on your purchase that are not collected by us.

10. Cancellation and Refunds

10.1 Cancellation

You may cancel a paid subscription at any time from the Billing portal in the application. Cancellation takes effect at the end of the then-current paid period; you retain access to paid features until that period ends. Cancellation does not entitle you to a refund of fees already paid except as described below.

10.2 Refund eligibility

Because the Services are digital and a free plan is available, paid plans are generally non-refundable. As a limited exception, you may request a refund of the most recent payment only — that is, the payment that started or most recently renewed your current subscription term — within the windows below:

  • Monthly plans: refund requests must be submitted within 48 hours of the subscription start or most recent renewal date.
  • Annual plans: refund requests must be submitted within 14 days of the subscription start or most recent renewal date.

Refunds do not cover earlier billing periods that have already been paid for and used. Refund requests must be sent by email to support@quocia.com. Approved refunds are subject to a 10% administrative and transaction fee, deducted from the amount paid, and result in the immediate cancellation of your subscription.

10.3 Q-Credits and add-ons

Purchased Q-Credits and other add-on purchases are non-refundable. Subscription refunds do not return monthly Q-Credits that have already been issued or consumed.

11. Third-Party Services and Content

The Services integrate with third-party services and content, including (without limitation) payment processors, AI model providers, social media platforms, image libraries, email delivery providers, email validation providers, and cloud-hosting providers. Your use of those third-party services is also subject to their own terms and privacy policies, and your relationship with each provider is governed solely by your agreement with them.

We do not control and are not responsible for the content, availability, accuracy, or practices of any third-party service. You are responsible for reviewing and complying with the terms of any third-party platform on which you publish content via the Services.

12. Platform Addendum

This Platform Addendum sets out additional terms that apply when you connect a third-party social or content platform (such as Facebook, Instagram, LinkedIn, X (formerly Twitter), TikTok, YouTube, Pinterest, Threads, or similar) to a brand workspace and use the Services to schedule, post, or analyse content on that platform (each, a "Connected Platform").

12.1 Authorisation to connect

By connecting a Connected Platform to the Services, you represent and warrant that:

  • You are entitled to connect the relevant account and to grant us access in accordance with that platform's terms;
  • You will comply with the Connected Platform's terms of service, community guidelines, advertising policies, content policies, and developer policies, as updated from time to time;
  • You will not use the Services to engage in conduct that is prohibited by the Connected Platform, including spam, fake engagement, automated personal-account behaviour, or unauthorised commercial activity.

12.2 Platform-imposed limits

Connected Platforms set their own limits on what we can do on your behalf, including supported account types, posting frequency, content formats, character limits, media specifications, tagging, and analytics. These limits change from time to time without notice. Quocia's support for any Connected Platform is best-effort and may be adjusted, restricted, or withdrawn when a Connected Platform changes its policies or its API.

12.3 Rejections, suspensions, and outages

A Connected Platform may reject a post, throttle posting, suspend, or close your account at any time and at its sole discretion. We are not responsible for any rejection, throttling, suspension, account closure, or loss of audience caused by a Connected Platform. We will, where reasonably possible, surface error messages and pass through information that helps you resolve issues with the Connected Platform.

12.4 Platform data

When you connect a Connected Platform, we receive only the access permissions that platform requires for the requested feature (for example, "publish posts" or "read insights"). You can review and revoke these permissions at any time from the Connected Platform's settings or from the brand workspace settings inside the Services.

12.5 Termination of connection

You may disconnect a Connected Platform at any time. Disconnection stops scheduled and pending posts to that Connected Platform. Posts already published on the Connected Platform remain on that platform unless you remove them through the platform itself.

13. Intellectual Property

13.1 Our intellectual property

The Services, including all software, designs, text, graphics, branding, trademarks, logos, and other content created by or licensed to Quocia (the "Quocia IP"), are owned by Quocia or its licensors and are protected by copyright, trademark, and other laws.

13.2 Licence to you

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for your own personal or internal business purposes. No other rights are granted, and all rights not expressly granted are reserved by Quocia.

13.3 Restrictions

You may not copy, reproduce, republish, encode, translate, transmit, sell, license, distribute, or otherwise exploit the Quocia IP for any purpose outside the express licence above without our prior written permission.

13.4 Feedback

If you choose to send us suggestions, ideas, or feedback about the Services, you agree that we may use them without restriction or compensation.

14. Copyright Notices

If you believe content available through the Services infringes your copyright, please send a written notice to support@quocia.com with: a description of the work claimed to be infringed; the location of the allegedly infringing material; your contact details; a statement of good-faith belief; and a statement, under penalty of perjury, that you are authorised to act on behalf of the rights-holder. We may forward your notice to the user who posted the content. False or material misrepresentations in a notice may expose you to liability under applicable law.

15. Service Availability and Modifications

We aim to keep the Services available with high uptime, but availability may be affected by scheduled maintenance, by issues with third-party services we depend on (such as AI providers, social platforms, image libraries, and hosting providers), and by causes beyond our reasonable control.

For scheduled maintenance initiated by us, we will give at least 24 hours' notice in the application or by email, and will keep total scheduled maintenance under four (4) hours per month where possible. If verified Service unavailability — caused by us and not by a Connected Platform or other third-party — exceeds 108 hours in a month for two consecutive months, your sole and exclusive remedy is to terminate the affected subscription and receive a pro-rata refund of pre-paid fees for the remaining unused portion of that Subscription Term.

We may, at any time and at our discretion, change, suspend, discontinue, or modify any part of the Services. Where the change is material and adverse to paying subscribers, we will give reasonable advance notice. We are not liable for any loss caused by such changes.

16. Termination

You may stop using the Services at any time and may delete your account from the application's settings. We may suspend or terminate your access to the Services, or close your account, at any time and at our discretion if we reasonably believe that:

  • You have breached these Terms or applicable law;
  • Continued provision of the Services to you would expose us, our users, or third parties to risk of harm or liability;
  • You have failed to pay amounts due; or
  • Your use creates a substantial operational, legal, or reputational risk.

Where reasonable and lawful, we will give you advance notice and an opportunity to cure. Sections that by their nature should survive termination (including those relating to Your Content licences already granted, intellectual property, disclaimers, limitation of liability, indemnification, and governing law) will survive.

If we close your account, you may not register a new account using the same identity, payment instrument, or in the name of a third party for whom you act, without our written consent.

17. Disclaimers

To the fullest extent permitted by law, the Services are provided "AS IS" and "AS AVAILABLE", without warranties of any kind, whether express, implied, or statutory, including the implied warranties of merchantability, fitness for a particular purpose, non-infringement, and freedom from defects.

We make no warranty that:

  • The Services will meet your requirements or expectations;
  • The Services will be uninterrupted, timely, secure, or error-free;
  • AI-generated output will be accurate, original, or suitable for your purpose;
  • Content posted to a Connected Platform will be accepted, retained, or distributed by that platform;
  • Defects will be corrected.

Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, the disclaimers above apply to the maximum extent permitted by law.

18. Limitation of Liability

To the fullest extent permitted by law, neither Quocia nor its directors, officers, employees, contractors, or agents will be liable to you or any third party for any indirect, incidental, consequential, exemplary, special, or punitive damages, including lost profits, lost revenue, lost data, or loss of goodwill, arising out of or in connection with these Terms or the Services, even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any claim arising out of or related to these Terms or the Services, regardless of the form of the action, will not exceed the greater of (a) the total amount you have paid to us in the one (1) month period immediately preceding the event giving rise to the claim, and (b) USD 100.

Some jurisdictions do not allow these limitations; in those jurisdictions, our liability is limited to the minimum allowed by law.

19. Indemnification

You agree to defend, indemnify, and hold harmless Quocia, its affiliates, and their respective directors, officers, employees, and agents from and against any third-party claim, demand, loss, liability, damage, or expense (including reasonable legal fees) arising out of or related to:

  • Your Content;
  • Your use of the Services;
  • Your breach of these Terms or applicable law; or
  • Your violation of a third party's rights, including intellectual property and privacy rights.

We will give you prompt notice of any claim subject to indemnification and may, at our option and expense, assume the exclusive defence and control of any matter for which you owe indemnification, in which case you agree to cooperate with our defence.

20. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict-of-laws rules.

20.1 Informal resolution

Before starting formal proceedings, the parties agree to attempt to resolve any dispute, controversy, or claim arising out of or relating to these Terms or the Services informally for at least sixty (60) days, beginning when one party gives written notice to the other.

20.2 Binding arbitration

Any dispute that is not resolved informally will be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the SIAC Rules in force at the time of submission. The seat of arbitration is Singapore. The tribunal will consist of one arbitrator. The language of the arbitration is English.

20.3 Injunctive relief

Nothing in this Section prevents either party from seeking interim or injunctive relief from a court of competent jurisdiction to protect intellectual property rights or confidential information.

21. Privacy

Our handling of personal information is described in our Privacy Policy, which forms part of these Terms. Our use of cookies and similar technologies is described in our Cookies Policy. By using the Services, you acknowledge that you have read and understood both policies.

22. Electronic Communications and Signatures

By using the Services or sending us emails, you consent to receive electronic communications from us. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically — including by email or in-app — satisfy any legal requirement that they be in writing. You consent to the use of electronic signatures, contracts, orders, and records, and waive any right under applicable law that would require an original signature or non-electronic delivery.

23. Miscellaneous

These Terms, together with our Privacy Policy, Cookies Policy, and any plan-specific terms referenced in the Services, are the entire agreement between you and us about the Services and supersede any prior agreement on the same subject.

If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force. Our failure to enforce any provision is not a waiver of our right to do so later. We may assign these Terms in connection with a merger, acquisition, or sale of assets; you may not assign these Terms without our prior written consent. There is no joint venture, partnership, employment, or agency relationship between you and us as a result of these Terms.

Neither party is liable for any failure or delay in performance to the extent caused by events beyond its reasonable control, including acts of god, government action, internet or telecom outages, or third-party failures.

24. Changes to These Terms

We may revise these Terms from time to time. The current version is always available at www.quocia.com/terms. We will give reasonable advance notice of material changes by email or by a prominent in-app notice. Your continued use of the Services after the effective date of any change constitutes your acceptance of the revised Terms. If you do not agree, you must stop using the Services and may close your account.
